1. Acceptance of Terms

By installing, accessing, or using the Upwork Scout Chrome extension and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Upwork Scout is a Chrome browser extension that helps freelancers automate their Upwork workflow. The Service includes job monitoring, smart filtering, AI-powered proposal generation, and multi-channel notifications (Chrome, Slack, WhatsApp). The Service is designed to complement your existing Upwork account and does not replace Upwork's platform.

3. Account Eligibility

You must be at least 18 years old and have a valid Upwork account to use the Service. By using Upwork Scout, you represent that you meet these requirements and that your use of the Service complies with Upwork's Terms of Service.

4. User Responsibilities

You are responsible for:

  • Providing your own API keys for AI providers (Claude, ChatGPT, DeepSeek) if you choose to use AI-powered features.
  • Ensuring your use of the Service complies with Upwork's Terms of Service and community guidelines.
  • Maintaining the security of your browser, Upwork account, and any API keys you configure.
  • All activity that occurs through your use of the Service.
  • Ensuring the accuracy of any information you provide through the Service.

5. Prohibited Uses

You agree not to:

  • Use the Service to spam, harass, or deceive Upwork clients.
  • Attempt to reverse-engineer, decompile, or disassemble the Service.
  • Use the Service in any way that violates applicable laws or regulations.
  • Share or redistribute the Service or your subscription credentials.
  • Use the Service to scrape or collect data for purposes unrelated to your freelance work.

6. Subscription and Payments

Upwork Scout offers free and paid subscription plans. Paid plans are billed on a monthly or annual basis through our payment processor, Lemon Squeezy. By subscribing to a paid plan, you authorize recurring charges until you cancel. Prices are subject to change with 30 days' notice.

7. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Upwork Scout and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. AI-generated content (proposals, replies) created through your use of the Service belongs to you.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we handle your data. By using the Service, you consent to the practices described in the Privacy Policy.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that it will result in any specific outcomes on Upwork (such as winning contracts or increasing revenue).

10. Limitation of Liability

To the maximum extent permitted by law, Upwork Scout shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Termination

You may cancel your subscription at any time through your account settings or by contacting us. We reserve the right to suspend or terminate your access to the Service at any time for violation of these Terms. Upon cancellation, you retain access until the end of your current billing period.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Upwork Scout operates, without regard to conflict of law principles.
